Please describe, providing specific details, any barriers you foresee to your fully meeting those qualifications and undertaking those responsibilities. Trustees’ responsibilities have usually require about 5-10 hours per week.

I don’t foresee any barriers. My primary occupation as CFO is quite demanding from a time perspective, however my team is strong and has responded positively to increased responsibility as I’ve been delegating more in the past 3-4 years. I’m used to working long, protracted hours, including weekends to ensure my responsibilities are completed.

DATA Communications Management Corp. (“DCM”) – DCM is a tech-enabled services provider, offering highly complex print and marketing communications solutions to clients in markets including financial services, government, retail, healthcare, lottery, and other regulated industries.

I serve as CFO, Corporate Secretary, and Chief Privacy Officer. My role includes responsibility for strategic direction and financial reporting, legal & compliance, investor relations, and M&A. I collaborate with the Chairs of our Board of Directors, and of sub-committees including Audit, Corporate Governance, and Human Resources & Compensation, to ensure we maintain the highest levels of governance, consistent with emerging regulatory and other governance bodies. I’m ultimately responsible for ensuring our security profiles and policies maintain the highest levels of standards (SOC2, PCI, etc.), given the highly personalized data & communications we manage.

I have extensive experience in financial management reporting, strategic oversight, and corporate governance. I’ve been CFO of DCM for 10 years, and previously was an investment banker for 15+ years, advising emerging growth companies. I bring a diverse background that includes:

  • Helping drive strategic planning and implementation of DCM’s transition from a “print first” to a “digital first” business
  • Navigating through complex regulatory and legal matters, both as CFO and as a founding partner of Clarus Securities, a boutique investment dealer
  • Strong background in recruitment, evaluation of talent, development of highly functioning teams

I serve as a management representative (in the capacity of CFO & Corporate Secretary) on the board of directors of DCM. I also lead agendas and discussions for each of our sub committees: audit; corporate governance; human resources & compensation. I have worked collaboratively with the Chairs of each of these since May 2015, ensuring meetings are efficient, board and committee members are prepared, and topical matters are addressed.

c) How does your past governance experience prepare you to help fulfill that role by serving as an ARIN Trustee?

I have a well rounded governance experience. Since starting as a young investment banker in 1994, I’ve worked collaboratively with legal counsel, partners / members of our firms, regulatory bodies (securities commissions, trading regulators), and always maintaining the highest of governance and ethical standards. I’ve helped companies I’ve been with work through very complex regulatory and governance matters, always successfully, and with strong recognition from both internal and external partners for my contributions.

I don’t have any direct experience with ARIN or others similar bodies.

7. Aside from any governance experience, describe your specific skills, background, and/or areas of expertise you believe will assist the Board in carrying out its duties.

Solid experience in strategic direction, recruitment & team building, and financial reporting & management.
